I am currently working on new MSA launch forms and workflows for my company and coming across a complication on how to structure the governing law conditions within the templates. We have three different signing entities and four different governing laws. The MSA is also mapped to pull from SFDC.
What we would like to achieve is that the templates be generated as 1) default governing laws depending on the signing entities; 2) option to override governing law by the legal reviewer. We have this currently set up via the governing law setting to be in accordance to the signing entity and territory in SFDC via the IF function conditionality. However, this causes a bit of an issue and upkeep when we want to add new templates into the workflow. I have came up with three other ways that can make this simpler so that maintenance is not to tedious (however have not tested yet).
Option 1: Adding a condition within a condition throughout the template.
Option 2: Signing entity condition to only be for the signature box and Entity Party and Governing Law to be a separate field and the attorneys must select choice of law in the launch form.
Option 3: Separate the templates based on entities and add conditions based on the signing entity (default) and within the agreement add the option to override the governing law. (This would mean a lot of additional templates in one workflow).
Has anyone else encountered this issue and can provide best practices or solutions that has worked for your team? Any useful insights would be greatly appreciated!
