💻 The Role
We’re looking for an outstanding Commercial Counsel who will be responsible for a wide range of day-to-day legal matters. Reporting to the Director of Legal, Commercial Counsel will be the second lawyer supporting the entire company and will be responsible for providing high quality legal and business judgment as well as drafting expertise on a variety of issues such as commercial contracts, general corporate matters, and compliance. Commercial Counsel will be involved in a variety of corporate legal projects as the company continues its exciting growth, building new products and expanding globally.
What you’ll do:
- Draft, negotiate, review, and interpret a broad range of agreements and provide risk assessments, as well as tactical & strategic advice to Whatnot’s business teams, with a primary focus of supporting platform and product partnerships, distribution, tech transactions and content and marketing deals.
- Educate business teams about contract forms, including recent contract best practices, common clause objections, commercial and legal risks and internal contract review and approval procedures.
- Evaluate and improve commercial legal systems, practices, and processes, including the contract lifecycle management platform
- Interact with product teams on new product commercial initiatives
- Support expansion into new markets and formation of subsidiaries
- Assist Director of Legal and partner with outside counsel on issues and matters as needed
👋 About You
- A JD from an accredited law school
- Admission to at least one US state bar or eligible to register as in-house counsel with at least one US state bar
- 3-5+ years of progressively responsible commercial legal experience. Experience at both a law firm and in-house is a plus but not required
- Prior experience supporting a heavy volume of commercial transactions across various business functions in a fast-paced environment
- Ability to internalize the business's priorities, think creatively, and translate legal requirements into actionable (and flexible) advice
- Organized self-starter with an ability to follow guidance carefully but provide independent input where appropriate.
- Outstanding analytical, communication, organizational, negotiation, and drafting skills
- Exercises great judgment!
