The Lead Counsel, EMEA will report to the VP, Head of Legal and will own the execution of day-to-day GTM legal process activity in Europe, the Middle East, and Africa (EMEA) as well as work with the in-region business teams on EMEA-wide legal matters, including privacy and employment issues. You will work closely to advise and empower the talented people of Abnormal Security from Sales, Finance, Operations, Product, Engineering, Marketing, PeopleOps and other teams as they work to further our organization’s mission to fight cybercrime. The Lead Counsel, EMEA will provide pragmatic and business-minded legal support to stakeholders at all levels of the company, while contributing to the planning and implementation of operational processes, platforms, and tools to scale our organization as we expand globally. In addition, the Lead Counsel, EMEA will be a ground-floor member of the amazing legal team we’re building and will be the first person on the legal team in the EMEA region.

What you’ll do
In this role, you will be primarily responsible for execution of revenue-focused and other commercial and privacy-related legal activities focused on the EMEA region as well as serve as the Legal team’s main support contact in-region to assist with various EMEA-focused legal matters, including privacy and employment issues. You will also contribute to the Abnormal Legal Team and coach and mentor the amazing people that we bring on board as future Abnormal Legal Team members. Your ability to do the following will drive your success as Lead Counsel, EMEA:
- Own execution of the commercial legal process, primarily focused on the EMEA region, from intake, resourcing, and execution, meeting or exceeding internal SLOs, and managing KPI tracking and reports
- Advise on, negotiate, and close a range of contracts including NDAs, outbound and inbound software licensing agreements, data protection agreements (GDPR, CCPA), commercial order forms, professional services and partner agreements, ensuring that each is aligned with Legal Playbook
- Manage deal flow, mentor more junior members of the Legal team, manage relationships with outside counsel as appropriate, including efficient use and management of outside counsel for load balancing
- Contribute to the design, build, and maintenance of commercial transacting workflows in CLM platform.
- Update of the commercial legal playbooks on a regular basis, with a focused eye on EMEA issues; work with stakeholders for delegation of additional fallbacks to build out additional portions of the playbooks to require less input into day-to-day transactions.
- Assist with contract legal and operational risk audit monitoring strategy: keep ahead of key risks and contract clauses/attributes; assist with implementation of mitigation and monitoring program
- Collaborate with internal financial teams to surface issues as it relates to contracting guidelines, policies, and escalations/exceptions process to ensure deal structures and clauses support company booking and revenue recognition targets
- Localize customer contract templates and processes to support expansion within EMEA, working with outside counsel and internal stakeholders as needed
- Partner with EMEA team members and stakeholders across Abnormal to provide pragmatic advice to minimize legal risks while advancing the goals of the business
- Create and deploy legal enablement and training materials specific to the EMEA business teams on a variety of issues, including, legal best practices, efficiently engaging legal, and current legal/regulatory issues, as required
- Stay current with legal technology, tools, and professional development
Experience and qualifications you’ll need
- 8+ years combined law firm and in-house legal department experience
- Qualified as a lawyer in at least one EU jurisdiction or the UK
- Proven success working effectively across business units and internal functions to efficiently resolve complex business and risk management issues while considering many non-legal variables, such as culture, brand, communications, government relations, tax, revenue recognition, insurance, finance and other functional areas
- Familiarity working across the globe, to support multiple time zones and cultures
- Substantial experience negotiating B2B SaaS and software license agreements, vendor/supplier contracts, and reseller agreements for technology companies, including data protection laws and privacy
- Expertise in data protection and privacy advising
- Familiarity with basic employment issues in the UK and EU
- Experience working in a start-up atmosphere is highly desirable
- Understanding of and/or experience with start-up specific milestones, such as, fundraising rounds, diligence procedures, ARR, etc.
- Prior experience working as a business partner with GTM facing and GTM adjacent teams and committed to strategic differentiation and high quality execution
- Proficiency with Google Docs, Gmail, Microsoft Office, Adobe Acrobat Pro, DocuSign, Salesforce, CLM and other Legal Ops tools, and Slack
- CIPP/E or other similar certification.
- Knowledge of one of the major European languages in addition to English and Cybersecurity experience or interest is a plus
