Summary of Position:
ReCode is looking for a Legal Operations Specialist who is excited join the Legal team and support its IP and transactional work.
Responsibilities:
General
- Support oversight of legal operations for the Legal Team to ensure delivery of high-quality legal services to the organization
- Support Legal Team on corporate and financing transactions, including due diligence, corporate approvals, and related securities law filings
- Assist with preparing presentation materials for board meetings and drafting board and shareholder consents/resolutions at the parent company and subsidiaries
- Review board meeting minutes at the parent company and subsidiaries
- Support Legal Team in maintaining robust compliance program, including employee trainings and certifications
Entity Management
- Supervise legal entity formation, management and maintenance in multiple jurisdictions within the US and abroad
- Coordinate with local counsels and corporate secretaries in various jurisdictions to ensure good standing of multiple subsidiaries
- Maintain corporate entity management system, including corporate books and records at the parent company and subsidiaries
Contracts
- Administer and maintain ReCode’s contract management system software and identify and develop opportunities to optimize the system
- Assist in the development and maintenance of standard contract templates
- Assist with preparing and reviewing contracts, compliance policies, agreements, and other related documents
- Answer internal questions about process matters, track that requests are entered in the right place and that agreements are signed on time
Patents
- Assist attorneys and coordinate with outside counsel regarding patent prosecution matters
- Maintain patent docket including planning and workflow
- Maintain the Legal Team docketing system
- Prepare and maintain the Information Disclosure Statement (IDS) database
- Update and maintain electronic files for prosecution matters
Qualifications:
- 5+ years of paralegal or legal operations experience at a top law firm and in-house, preferably providing corporate and transactional legal support to companies in the biotechnology, pharmaceutical and/or healthcare technology industries; experience working with publicly traded companies a plus
- Experience with supporting legal teams on corporate and financing transactions as well as intellectual property matters; experience with corporate entities in foreign jurisdictions is a plus
- Experience drafting form board meeting minutes and board and shareholder consents and resolutions
- Ability to communicate with various levels of management and staff
- Strong client service orientation with proven experience effectively supporting internal clients
- Excellent interpersonal and communication skills
- Strong oral, written communication skills
- Entrepreneurial spirit and willingness to own tasks big and small, including willingness to roll up your sleeves to do what is needed to get tasks done
- Demonstrated alignment with ReCode’s values and culture
- Knowledge of Microsoft Office, including proficiency in Excel and PowerPoint, required
Salary Range: *125-150K
*Please note that for remote positions, salary may be adjusted for cost of living
