Aware is hiring a Senior Counsel. You will be responsible for drafting, reviewing, and negotiating contracts related to the provision of SaaS products and services. They work closely with customer counsel to ensure legal agreements comply with applicable laws, regulations, and company policies.
This role is a hybrid role and is located in Columbus, Ohio.
The primary duties of a Senior Counsel include:
- Review, draft, negotiate, and execute a wide range of routine and mission-critical contracts, agreements, licenses, and other legal agreements that support and enable business operations.

- Address pertinent issues relevant to business and product initiatives including: Intellectual property protection, compliance and safety requirements, consumer privacy and data protection.
- Advise company on legal matters, including, but not limited to; Employment agreements, bilateral commercial agreements, privacy agreements, standard user terms and conditions, and cap-table related corporate legal matters.
- Anticipating unique legal issues and "blind spots" that could have a material impact on the company's compliance.
- Staying abreast of relevant legislative and regulatory developments.
- Assist product team in evaluating the impact of privacy laws, regulatory guidance and enforcement actions, and other related guidelines on product features.
- Collaborating with cross-functional teams, including product, engineering, and sales teams, to ensure legal compliance and mitigate risks.
- Assist product team in prioritizing features that would have wide appeal and impact on the legal & compliance enterprise buyer.
- Assist sales team in key meetings that involve legal & compliance stakeholder.
- Advise our business teams on when to take risks, how to mitigate them, and when to avoid them. Bring your deep experience and product knowledge to bear to give appropriate recommendations based on the context.
- Draft, analyze and negotiate outbound agreements (specifically focusing on master subscription agreements) with customers to ensure that they comply with Aware’s policies and risk tolerance.
- Review, draft and negotiate a wide variety of inbound SaaS/software and vendor agreements to support Aware’s procurement activities, which include master services agreements, software licensing agreements and other commercial agreements to ensure that they comply with Aware’s policies and risk tolerance.
- Other duties could include supporting general business practices associated with insurance, government contracting, and corporate governance.
- Raise awareness and provide training for any employees involved with processing activities.
- Identify and implement a contract management system as well as identify non-conforming agreements.
- Have at least seven years of relevant legal experience.
- Other duties as assigned.
To be a successful Senior Counsel, candidates should possess the following qualifications:
- A Juris Doctor (JD) degree from an accredited law school.
- Admission to their state bar of residency, able to be admitted to the Ohio bar, and in good standing.
- Experience working with SaaS products and services, including drafting, and negotiating related contracts within fast paced startup environment.
- Strong knowledge of intellectual property law, data protection, and privacy regulations.
- Excellent written and verbal communication skills, with the ability to communicate complex legal concepts to non-legal stakeholders.
- Strong analytical and problem-solving skills, with the ability to identify and mitigate legal risks.
- Ability to work independently, manage multiple projects, and meet tight deadlines.
- Familiarity with contract management tools and software.
$130,000 - $175,000 a year
This role can be performed from any office in the US. The pay range for this position is $130,000 - $175,000/year; however, base pay offered may vary depending on job-related knowledge, skills, and experience. This position offers a comprehensive variable compensation package, in addition to a full range of benefits outlined here. Base pay information is based on market location.
