Circ is seeking a highly skilled and detail-oriented Contracts Specialist to join our legal team. As a Contracts Specialist, you will play a crucial role in ensuring the efficient management and administration of contracts, as well as providing paralegal support to our General Counsel. The ideal candidate should have experience working with contracts management systems such as Ironclad, have experience negotiating NDAs with commercial partners, and demonstrate exceptional organizational and attention-to-detail skills. This is a contract part-time position at 15-20 hrs/ week.
RESPONSIBILITIES
- Support General Counsel with management of the entire lifecycle of contracts, including drafting, reviewing, negotiating, and finalizing a variety of agreements, such as client contracts, NDAs, Material transfer agreements (MTAs), vendor agreements, and licensing agreements.
- Collaborate with internal stakeholders, including legal counsel and business teams, to understand contract requirements, assess risks, and provide guidance on contractual matters.
- Ensure compliance with company policies, legal requirements, and industry best practices throughout the contract management process.
- Utilize the contracts management system, Ironclad, to efficiently track, store, and retrieve contract-related information, while ensuring data accuracy and integrity.
- Manage the upload to Ironclad of existing contracts, including coding for appropriate metadata to allow efficient management of contracts going forward
- Conduct thorough reviews of contracts, identifying any potential issues, discrepancies, or risks, and propose appropriate modifications or amendments.
- Assist with the development and maintenance of contract templates, guidelines, and standard operating procedures to streamline the contracting process.
- Support the legal team in conducting legal research, analyzing laws and regulations, and preparing legal documents, such as legal opinions and summaries.
- Collaborate with external legal counsel, when necessary, to address complex legal matters and ensure the company's interests are protected.
- Maintain a comprehensive and up-to-date knowledge of contract law, IP law, and other relevant legal developments to provide accurate and informed advice to internal stakeholders.
- Handle the administration of non-disclosure agreements (NDAs), including drafting, reviewing, and negotiating such agreements.
- Assist in other paralegal duties as needed, including document management, file organization, and legal research.
QUALIFICATIONS
- Bachelor's degree in Law, Paralegal Studies, or a related field. A Juris Doctor (JD) degree is a plus.
- Minimum of 5 years of experience working as a Contracts Specialist, Paralegal, or in a similar legal support role.
- Proven experience with contracts management systems, preferably Ironclad, and proficiency in using Microsoft Office/Google Suite and other relevant software applications.
- Strong knowledge of contract law, including a solid understanding of NDAs.
- Exceptional attention to detail and organizational skills, with the ability to manage multiple tasks and prioritize effectively.
- Excellent written and verbal communication skills, with the ability to convey complex legal concepts in a clear and concise manner.
- Strong analytical and problem-solving abilities, with the aptitude to identify potential risks and propose practical solutions.
- Ability to work collaboratively within a team environment, as well as independently, with a high level of professionalism and integrity.
- Demonstrated ability to adapt to changing priorities and work under tight deadlines while maintaining accuracy and quality.
