Position Summary
S2G Ventures is seeking a motivated, entrepreneurial and collaborative attorney to join our in-house legal team. You will report directly to the General Counsel and work across a variety of matters, with a particular focus on investments and general corporate matters. You will have primary responsibility for supporting portfolio investments across our funds, which currently include companies in food & agriculture, oceans, renewable energy, as well as special opportunities across a variety of climate solutions. In addition to your primary role of supporting and overseeing the investment portfolio, you will also collaborate with cross-functional teams on a wide variety of other legal matters, including compliance, labor & employment, intellectual property and tax matters. Responsibilities
- Advise the investment teams on a broad range of corporate transactional matters, including
- and international venture capital investments, growth equity investments, co-investments and debt instruments
- Assist in the formation and structuring of new investment vehicles
- Attend investment committee meetings and provide the committee members with guidance on legal and compliance questions
- Draft, review, and negotiate various agreements, including investment documents, fund formation documents, side letters, consulting agreements, vendor contracts and NDAs
- Serve as a resource for the investment teams on trading questions, securities issues, investment due diligence and risk assessment
- Engage and manage external counsel, as needed, to address substantive legal, regulatory and business issues as they arise
- Handle a wide variety of other day-to-day demands and workflow from a sophisticated team of investment professionals

Qualifications required for your success
- J.D. from an accredited law school
- Current and active license to practice law in State of Illinois
- At least 4 years of experience as a corporate/transactional attorney, preferably including experience at a law firm and either a venture capital firm or investment adviser
- Proficiency with a variety of investment documents, including limited partnership agreements, limited liability company agreements, investment documentation, side letters and subscription agreements
- Excellent analytical, problem-solving, and decision-making skills
- Exceptional communication and interpersonal skills, with the ability to effectively collaborate with internal and external stakeholders
- High level of integrity, ethics, and professionalism
