The Legal, Audit, and Compliance team at Clear Capital works collaboratively with our internal business partners to provide accurate and timely counsel in a variety of legal topics, to ensure compliant and effective strategies, processes, and policies to support the growth and leadership of our organization. The role will play an important role to support execution of various agreements and our overall legal and risk strategy. The successful candidate will report to the VP, Compliance and Managing Counsel.
What you will work on
- Develop, draft, review, and approve legal terms and conditions, negotiate a wide variety of commercial agreements; draft new contract templates applicable to our different product, analytics, and SAAS business lines
- Support contract negotiations with account teams, clients and outside counsel where appropriate
- Advise internal business line and administrative support teams on commercial matters, including structuring, negotiation, interpretation, compliance and enforcement, risk assessment, legal and regulatory compliance, and consistency with business/operational requirements
- Anticipate internal and external business challenges and provide creative problem-solving solutions to analyze legal and commercial risks while supporting corporate strategy and goals
- Work closely with business and risk partners to implement and support the company’s data protection strategy, including advising on impact of data privacy laws, and implementing appropriate product development controls
- Partner with product, engineering, and marketing to proactively support them throughout the product development life cycle
- Partner with InfoSec group to implement best practices for the management and protection of confidential and personal information and to develop appropriate policies
- Draft, review, and negotiate various agreements related to data privacy, including terms of service, vendor agreements, customer agreements, DPAs, and related agreements
- Support the company’s intellectual property strategy, including maintaining current IP portfolio and working with business partners on product development
- Work with outside counsel and consulting partners as-needed to support business objectives
Who we are looking for
- Juris Doctor required with active bar license in at least one jurisdiction
- Minimum of 5 years experience at a law firm and/or in-house, with experience in data protection or intellectual property matters, including developing data management programs as well as solid understanding of applicable privacy laws including GLBA, CPRA, and others
- Experience in drafting, reviewing and negotiating various commercial software license, SAAS, and data licensing agreements, ideally in real estate valuation or financial services industries
- Demonstrated ability to collaborate with others across various internal business units
- Strong communication, interpersonal and conflict resolution skills. Must be comfortable navigating healthy tension with organizational units and third parties
- Self-motivated, resourceful, able to meet aggressive deadlines, able to adapt quickly to change in direction, and demonstrate willingness and ability to learn new concepts/software/industries quickly
- Anticipate internal and external business challenges and provide creative problem-solving solutions to analyze legal and commercial risks while supporting corporate strategy and goals
- Prior experience with Ironclad and OneTrust preferred
- Bonus points:

- Data protection or related certification
