Position Summary:
Responsible for leading, managing, and participating in all aspects of clinical study and commercial contracting as assigned, including in appropriate instances directly negotiating agreements. Manage the contracting workflow by providing consistent management of all contracts utilizing an automated contract management system, and by configuring and administering the contracts mailbox and database. Assist on an as-needed basis regarding other legal matters, such as Legal projects, corporate audits, responses to subpoenas, staff training.
Specific Duties:
- Commercial Transactions
- Support strategic initiatives and develop/update processes, templates, and training to improve overall contracting practices.
- Analyze and negotiate contract terms; highlight key risks, lead team contract reviews.
- Lead coordination of contract terms with finance, pharmacovigilance, quality and other departments as appropriate to ensure internal alignment while also ensuring company requirements, applicable regulations, and good business practices are met in order to manage and reduce company risk.
- Develop and maintain key relationships both internally and externally to ensure organizational goals are met.
- Manage contract database and vendor relationships.
- Train, mentor, and coach internal teams on the contract process, commercial terms, and best practices.
- Be aware of ongoing contracting activities, evaluate associated risks, and proactively raise issues of concern.
- Clinical Study Contracting
- Familiarity with clinical study contracts with CROs, investigators, and study sites.
- Work proactively to improve study contracting processes and establish refinements that reduce cycle time and improve efficiency.
- Maintain templates for agreements used in clinical trials.
- State Licenses and State Corporate filings
- State Corporate Filings: Manage applications, amendments, and annual secretary of state filings.
- Manage relationship with CSC.
- Liaise with state licensing function to provide legal assistance.
- Relationship Management
- Build effective relationships within Braeburn to facilitate efficient contracting processes.
- Serve as point of contact with outside counsel regarding review and negotiation of contracts and other legal documents.
- Vendor management – contract database, state licensing, and corporate entity management.
Skills:
- Ability to synthesize and effectively articulate concepts to internal cross-functional stakeholders at all levels.
- Strong organization and time management skills with ability to work autonomously, set priorities, meet deadlines, and manage multiple projects in a fast-paced changing environment while exercising sound judgment and with minimal supervision.
- Identify gaps, problem solve and find creative and sustainable solutions.
- Experience working in a law firm or corporate legal department.
- Experience reviewing and managing contracts.
Education/Experience:
- Undergraduate degree or higher required; Legal degree or paralegal certification preferred.
- Minimum of 5 years in a contract management role or similar experience required.
- Minimum of 5 years in a law firm or in house legal department required.
- Knowledge of pharmaceutical industry required.
